1. Scope of services
These terms govern the supply of materials, fabrication, and installation services provided by Barakah Trading & Consultancy ("BTC", "we", "us", "our") to clients ("you", "the client") for projects in Bangladesh. By accepting a quotation or issuing a purchase order, you agree to be bound by these terms.
Our services include but are not limited to: glass and aluminium systems, ACP cladding, ceiling installations, stainless and mild steel fabrication, and the supply of products listed on our products page. Each engagement is governed by the specific scope described in the accepted quotation.
2. Quotations & pricing
All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices are quoted in Bangladeshi Taka (BDT) and are exclusive of VAT unless explicitly stated otherwise.
Quotations are based on the information provided at the time of enquiry. If the scope, dimensions, or site conditions change after a quotation has been accepted, a revised quotation will be issued before additional work proceeds. We reserve the right to adjust pricing if material costs change materially between quotation and commencement of work.
3. Payment terms
Standard payment terms are:
- 50% advance upon acceptance of quotation / purchase order.
- 40% upon delivery of materials to site.
- 10% upon practical completion and client sign-off.
Alternative payment schedules may be agreed in writing before work commences. Payment is due within 7 days of each invoice date. Late payment may attract interest at 2% per month on the outstanding balance.
4. Delivery & timelines
Estimated completion dates are provided in good faith and are based on normal site access, prompt client decisions, and no third-party delays. BTC is not liable for delays caused by late payment, changes to scope, restricted site access, or force majeure events.
Where timelines are critical, a fixed-programme arrangement should be agreed in writing before work commences.
5. Warranty & after-sales
We warrant our installation workmanship for a period of 12 months from the date of practical completion. Defects arising from workmanship errors will be remedied at no charge within this period following written notification.
Material warranties are governed by the manufacturer's terms and are passed through to the client. Glass, aluminium, and ACP products typically carry separate manufacturer warranties of 2–10 years depending on the product; copies of relevant warranties are provided at handover.
The warranty does not cover damage caused by misuse, modification by others, accidental damage, or normal wear and tear.
6. Client responsibilities
The client is responsible for ensuring safe and reasonable access to the site during agreed working hours. Any delays or costs arising from restricted access are for the client's account. The client must inform us of any structural, electrical, or environmental conditions on site that may affect the installation.
7. Liability
Our total liability to you under or in connection with any contract shall not exceed the value of the contract sum. We are not liable for indirect, consequential, or economic losses including loss of profit or loss of use.
Nothing in these terms limits our liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
8. Intellectual property
Drawings, specifications, and designs prepared by BTC remain our intellectual property unless specifically assigned in writing. You may use such documents only for the project for which they were prepared.
9. Governing law
These terms are governed by the laws of the People's Republic of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
